1. Agreement
By accessing or using Stipuloπ ("the Platform"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Stipulo AI Ltd, registered in England and Wales (Company No. 17272510). If you do not agree, do not use the Platform.
2. Use of the Platform
Stipuloπ is an enterprise software platform for commercial and procurement intelligence. Access is granted on a per-organisation basis via an annual licence. You may not resell, sublicence, reverse engineer or attempt to extract source code from the Platform. You are responsible for all activity under your account.
3. Intellectual property
All intellectual property rights in the Platform, including software, design, data models and documentation, are owned by Stipulo AI Ltd. Your data remains your property. By uploading data to the Platform, you grant us a limited licence to process it for the purpose of providing the service.
4. Data and privacy
Our collection and use of your data is governed by our Privacy Policy. We comply with UK GDPR. You remain the data controller for your organisation's data; we act as data processor. We will not use your data for any purpose other than providing the Platform.
5. Availability and support
We aim to provide high availability of the Platform but do not guarantee uninterrupted access. We will provide reasonable notice of planned maintenance. Support is provided via email at hello@stipuloai.com during UK business hours.
6. Limitation of liability
To the maximum extent permitted by law, Stipulo AI Ltd shall not be liable for indirect, incidental, special or consequential damages arising from your use of the Platform. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
7. Termination
Either party may terminate the licence agreement with 30 days written notice. We may suspend or terminate your access immediately if you breach these terms, fail to pay fees, or engage in conduct that is harmful to the Platform or other users.
8. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to these terms
We may update these terms from time to time. We will notify you of material changes with at least 30 days notice. Continued use of the Platform after the effective date constitutes acceptance.
